Merck will pay $53.00 per share, representing a significant premium over Terns' recent trading average, as it seeks to integrate the promising leukemia candidate TERN-701 into its hematology portfolio. The transaction is expected to be accounted for as an asset acquisition and close in the second quarter of 2026, resulting in a charge of approximately $5.8 billion, or approximately $2.35 per share, included in both second-quarter and full-year 2026 GAAP and non-GAAP results, Merck (MRK [https://seekingalpha.com/symbol/MRK]) said in a statement [https://seekingalpha.com/pr/20450324-merck-to-acquire-terns-pharmaceuticals-inc-expanding-its-hematology-pipeline-with-ternminus#hasComeFromMpArticle=false#source=section%3Amain_content%7Cbutton%3Abody_link%7Cfirst_level_url%3Anews]. Merck (MRK [https://seekingalpha.com/symbol/MRK]) has been pursuing deals to strengthen its pipeline, with CEO Rob Davis spearheading a strategy to diversify the company's portfolio ahead of the 2028 patent expiration for its blockbuster cancer drug, Keytruda. Under the terms of the merger agreement, Merck, through a subsidiary, will acquire all of the outstanding shares of Terns. MEDTRONIC LOWERS 2026 EARNINGS OUTLOOK ON RECENT MINIMED UPDATES Medtronic (MDT [https://seekingalpha.com/symbol/MDT]) cut [https://seekingalpha.com/news/4568410-medtronic-cuts-earnings-outlook-minimed-updates] its full-year earnings outlook, citing the recent IPO of its diabetes business, MiniMed Group (MMED [https://seekingalpha.com/symbol/MMED]), and the earlier-than-expected FDA approval and commercial launch of MiniMed Flex, a next-generation insulin pump, last week. In an SEC filing on Tuesday, the MedTech giant disclosed that the public listing of 10% of its holding in MiniMed (MMED [https://seekingalpha.com/symbol/MMED]) is expected to c [https://app.quotemedia.com/data/downloadFiling?webmasterId=101533&ref=319897440&type=HTML&symbol=MDT&cdn=fb54ec5d65c7acdae880ad37cdd57ecb&companyName=Medtronic+plc.&formType=8-K&dateFiled=2026-03-24]reate a roughly $0.02 per share headwind to Medtronic (MDT [https://seekingalpha.com/symbol/MDT]) shareholders for each month of the quarter following the closure of the IPO on Mar. 9. Additionally, the company projects a $0.08 per share impact on its Q4 FY26 results, as MiniMed (MMED [https://seekingalpha.com/symbol/MMED]) is set to recognize a one-time charge of $157M to account for a series of payments due to Blackstone (BX [https://seekingalpha.com/symbol/BX]), which helped fund the development of MiniMed Flex. The outlook of high single-digit EPS growth for fiscal 2027 remains unchanged. SAREPTA GAINS ON DATA FOR MUSCULAR DYSTROPHY THERAPIES Sarepta Therapeutics (SRPT [https://seekingalpha.com/symbol/SRPT]) added [https://seekingalpha.com/news/4568547-sarepta-posts-data-muscular-dystrophy-drugs] ~35% on Wednesday after the company posted initial data from Phase 1/2 trials for its experimental drugs targeted at two rare forms of muscular dystrophies. The company said that the results support the potential of SRP-1001 and SRP-1003, which are based on its small interfering RNA (siRNA) treatment platform. The treatments are designed to treat facioscapulohumeral muscular dystrophy type 1 (FSHD1) and myotonic dystrophy type 1 (DM1), respectively. According to Sarepta (SRPT [https://seekingalpha.com/symbol/SRPT]), the results indicate that its αvβ6 integrin-targeted siRNA approach can lead to high muscle exposure of targeted treatments without dose-limiting toxicities. While RNA-targeted therapies have shown promise against FSHD and DM1, their efficacy has been limited due to rapid degradation inside the body before delivery to intended cells. “We are pleased that these early clinical results showed high levels of siRNA delivery to muscle, with no saturation of muscle siRNA uptake or dose-limiting safety signals to date,” said Louise Rodino-Klapac, Serepta’s (SRPT [https://seekingalpha.com/symbol/SRPT]) President of R&D and technical operations. The deal, which is expected to close in the second half of the year, will add Excellergy's drug candidate that's currently in early-stage trials to Novartis' (NVS [https://seekingalpha.com/symbol/NVS]) portfolio. The drug, called Exl-111, is a trifunctional Effector Cell Response Inhibitor designed to treat certain allergic disorders. If confirmed clinically, Exl-111's mechanism could support earlier symptom relief, stronger disease control, more convenient dosing and broader use across food allergy, allergic asthma and other IgE-driven diseases. GILEAD TO ACQUIRE OURO MEDICINES IN $1.68B DEAL TO ADVANCE AUTOIMMUNE T CELL THERAPIES Gilead Sciences (GILD [https://seekingalpha.com/symbol/GILD]) on Monday said [https://seekingalpha.com/news/4567650-gilead-sciences-to-buy-ouro-medicines-to-boost-t-cell-therapy-for-autoimmune-diseases] it would acquire privately held Ouro Medicines, a biotech company developing T cell engager therapies for autoimmune diseases. The agreement includes $1.675 billion in upfront cash, plus up to $500 million in potential milestone payments. CENCORA TO BUY EYESOUTH PARTNERS’ RETINA BUSINESS FOR $1.1B Medical distributor Cencora (COR [https://seekingalpha.com/symbol/COR]) signed [https://seekingalpha.com/news/4567721-cencora-buy-eyesouth-partners-retina-business] an agreement to acquire EyeSouth Partners’ retina business for $1.1B through its eye care subsidiary, Retina Consultants of America, marking its latest deal-making activity. The company expects the transaction, adjusted for financing costs, to slightly boost its adjusted diluted EPS in the first twelve months after the deal closure. However, Cencora (COR [https://seekingalpha.com/symbol/COR]) said its reaffirmed outlook for fiscal 2026 doesn’t expect the deal to close within this fiscal year. | 27.03.26 19:05:08 | RadNet, Evolent Health, Illumina, Charles River Laboratories, and Repligen Stocks Trade Down, What You Need To Know | |
|
What Happened? A number of stocks fell in the afternoon session after major indices including the S&P 500 and Dow Jones Industrial Average fell sharply as investors reacted to escalating uncertainty tied to the U.S.-Iran conflict and policy deadlines set by the Trump administration. Markets dislike unpredictability, and these fears were amplified, raising concerns of prolonged conflict and rising oil prices. This negative outlook reflected in consumer confidence, with the University of Michigan's sentiment index sliding to a three-month low. The stock market overreacts to news, and big price drops can present good opportunities to buy high-quality stocks. Among others, the following stocks were impacted: Testing & Diagnostics Services company RadNet (NASDAQ:RDNT) fell 4%. Is now the time to buy RadNet? Access our full analysis report here, it’s free. Healthcare Technology for Providers company Evolent Health (NYSE:EVH) fell 5.6%. Is now the time to buy Evolent Health? Access our full analysis report here, it’s free. Genomics & Sequencing company Illumina (NASDAQ:ILMN) fell 5.4%. Is now the time to buy Illumina? Access our full analysis report here, it’s free. Drug Development Inputs & Services company Charles River Laboratories (NYSE:CRL) fell 4.2%. Is now the time to buy Charles River Laboratories? Access our full analysis report here, it’s free. Drug Development Inputs & Services company Repligen (NASDAQ:RGEN) fell 3.6%. Is now the time to buy Repligen? Access our full analysis report here, it’s free. Zooming In On Evolent Health (EVH) Evolent Health’s shares are extremely volatile and have had 50 moves greater than 5% over the last year. In that context, today’s move indicates the market considers this news meaningful but not something that would fundamentally change its perception of the business. The previous big move we wrote about was 21 days ago when the stock dropped 6.9% on the news that the February jobs report revealed an unexpected contraction in employment, with the healthcare industry showing significant job losses. According to the Bureau of Labor Statistics, the economy lost 92,000 nonfarm payroll jobs, a stark reversal from the 50,000 gain that was anticipated by economists. The healthcare sector, typically a consistent source of job growth, shed 28,000 positions. This disappointing data has raised investor concerns about a potential economic slowdown, which could lead to reduced healthcare spending and demand for services, contributing to the sector's decline in the market. Story Continues Evolent Health is down 42.8% since the beginning of the year, and at $2.23 per share, it is trading 81.1% below its 52-week high of $11.79 from July 2025. Investors who bought $1,000 worth of Evolent Health’s shares 5 years ago would now be looking at only $113.06. ONE MORE THING: The $21 AI Application Stock Wall Street Forgot. While Wall Street obsesses over who’s building AI, one company is already using it to print money. And nobody’s paying attention. AI chip stocks trade at ridiculous valuations. This company processes a trillion consumer signals monthly using AI and trades at a third of the price. The gap won’t last. The institutions will figure it out. You need to see this first. Also, AI-enabled molecular and mass spectrometry platforms, which are advanced technologies used for analyzing biological samples, do reduce the turnaround times, thereby letting hospitals begin with targeted therapy within a few hours instead of days. Also, the laboratories that are witnessing double-digit vacancy rates do look upon laboratory automation as a practical remedy to address chronic staffing shortages. Story Continues Request a Customized Copy of the Pharmaceutical Microbiology QC Testing Market Report @https://www.custommarketinsights.com/request-for-customization/?reportid=80376 What are the Factors that Significantly Contribute to the Growth of the Pharmaceutical Microbiology QC Testing Market? Laboratory automation changes how microbiology work is done by using robots and AI imaging systems that cut down reading and plating times by almost 40%, which is helpful since clinical labs often have around 25% of their positions unfilled. There are mass spectrometry platforms like MALDI-TOF that can now use machine learning models to identify species in just minutes, replacing the old manual methods that took almost two days. 100% automated dark labs do operate lights-out shifts for keeping essential testing running at the time of staffing shortages or pandemics like Covid-19. Hospital information systems and interoperability facilitate seamless flow of data, which extends support to antimicrobial-stewardship alerts and infection-control dashboards. Vendors bundling reagents, hardware, and cloud-based analytics under the service contracts enhance uptime while reducing ownership costs, thereby improving the appeal of their offers in the QC testing market for pharmaceutical microbiology. The speedy growth of complex cell & gene therapies and biologics calls for more frequent contamination testing (such as mycoplasma and endotoxin). The kits are being designed for reduction of human error, simplification of laboratory workflows, and improvement in precision in comparison with time-consuming conventional culture methods. Research states that reagents & kits hold over 53% of the overall market share, and the scenario is expected to persist going forward as well. By Test Type One of the significant factors driving the dominance of traditional or conventional testing is the industry's hesitation to move away from familiar, validated methods due to potential risks pertaining to new technologies. Conventional methods are broadly used for routine, essential environmental monitoring, raw material testing, and water quality testing, wherein immediate results are not critical to the extent of impacting the final product releases. Though rapid methods such as ATP bioluminescence do offer speed, they generally need higher capital expenditure for specialized training and instruments, whereas conventional methods are more cost-effective. By Technique Growth-based testing reduces the testing time to hours instead of days, thereby enabling speedy in-process testing and averting costly product recalls. Integrating technologies such as flow cytometry, ATP bioluminescence, and microfluidics does reduce intervention on manual counts and enhances sensitivity. It is increasingly used in bioburden testing and environmental monitoring. The other application areas include intermediate, raw material, and ultimate product testing. Quick results reduce inventory costs and eliminate the risk of product contamination. By Application Regulatory bodies (EMA, FDA) are making bioburden testing compulsory for medical devices and pharmaceuticals to ensure safety. The rising production of biologics, sterile pharmaceutical products, and medical devices needs pre-sterilized microbial monitoring. Routine and rapid bioburden monitoring aids in the prevention of pricey recalls, which could average USD 10 Million per incident. This is credited to its well-established pharmaceutical sector, strong regulatory environment, and speedy adoption of novel technologies. The rapid testing platforms are being adopted on a wider scale owing to the presence of proactive organizations such as the U.S. FDA that extend support for alternative microbial detection techniques. The leadership is cemented further by adopting innovative solutions at the earlier stage, such as implementing advanced microbial detection technologies and enhancing laboratory compliance to meet global quality standards. The Asia Pacific is expected to witness the fastest CAGR (14.33%) in the market for QC testing in pharmaceutical microbiology during the forecast period. This is credited to the fact that the local businesses are handsomely investing in compliance-driven microbiology laboratories for meeting the quality standards at the global level.
